This document, which governs the terms and conditions of Back Payment as part of the agreement between you and No106.
The private company with limited liability Billink B.V., established in Rotterdam and registered in the trade register under number 24474894.
The natural person or legal entity that offers its services and/or goods via an online web shop and offers the option "Pay by invoice via Billink" for payment of these services.
The natural or legal person who buys goods and/or services from the supplier and uses the payment option "Post-payment on invoice via Billink" to do so.
Article 1 - Conditions of use of Billink
1.1 These terms and conditions apply to any agreement involving the use of the "Post-payment on invoice via Billink" option or any similar Billink payment method. When using this payment method, you explicitly agree to the validity of these terms and conditions;
1.2 Your billing and delivery address are in the Netherlands and is not merely a PO Box address. If a parcel collection point is used, neither Billink nor Supplier accepts any liability for the handling by the parcel collection point after or at the time of delivery;
1.3 When using this payment method, you declare that you have not applied for suspension of payments, you have not been declared bankrupt, you are not under administration or receivership, or in any case are not incompetent or unauthorised to enter into an agreement with the Supplier or Billink;
1.4 When using this payment method, you declare that you are 18 years of age or older, or 16 and it is customary for you to make such purchases independently, or have permission from your parent(s) or guardian(s) for your purchase;
1.5 By providing (personal) data in order to use the Billink payment method in connection with your order, you consent to your data being processed and whether or not it is tested online so that Billink can let you know immediately whether your application has been accepted;
1.6 You are obliged to provide Billink with the correct details with your application and are liable for compensation for any damage - whether on the grounds of wrongful act, delay damage or otherwise - arising from the incorrectly supplied details experienced by Billink or Supplier, which includes providing a correct name or age.
Article 2 - Acceptance
2.1 When you place your order with the Supplier using Billink's payment method, an agreement only arises once Billink has approved your request, conditionally or otherwise;
2.2 Billink reserves the right to refuse your access to the Billink payment method, possibly without giving reasons;
2.3 Billink is committed to informing you as soon as possible whether your request to access Billink's payment method has been approved;
2.4 The result mentioned in article 2.2 is in principle determined by a creditworthiness test. Billink reserves the right - regardless of the outcome of this test - to approve or refuse your application;
2.5 After initial (conditional) acceptance, Billink reserves the right to still refuse your application within a reasonable period of time, all at Billink's sole discretion.
Article 3 - Method of payment
3.1 You will receive the invoice from Billink. You can only pay this via an online transfer, iDeal payment or a regular transfer via your bank;
3.2 Billink is fully authorised by the supplier to handle the invoice. This includes:
- Engaging any third parties, including, but not limited to, a collection agency, lawyer or bailiff;
- Charging interest and costs arising from the failure to pay the invoice in full.
Article 4 - Payment order costs
4.1 Any (banking) (processing) costs - or any costs whatsoever arising from making your payment to Billink - will be at your own expense.
Article 5 - Payment period
5.1 Billink applies a payment term of 14 days. The amount due must be credited to Billink's account within 14 days of the invoice date. Please take any bank processing time into account. The date stated on Billink's account statement is always decisive in determining the time of payment of the claim.
5.2 Your invoice may deviate from the standard payment term. The payment term as stated on the invoice is leading in this respect, unless there is an obvious language or writing error.
5.3 An extension given by Billink on your payment obligation never obliges Billink to future
postponement, nor does such postponement interrupt any interest periods or limit Billink's right to claim compensation for property damage at a later date. Billink is not obliged to further comply with a deferral if it was given on the basis of incorrect information.
Article 6 - Change of address
6.1 You are obliged to inform Billink of any change of address and or e-mail change. Until Billink has received a change of address, you are deemed to be resident at the last address known to Billink. A change of address or inaccessibility via an e-mail address does not release you from your payment obligation of the invoice, nor from any increase with possible interest and costs;
6.2 Address changes can be communicated to customer service. This can be done by e-mail at info@billink.nl or by means of a web form provided by Billink;
6.3 Billink depends on the accuracy of your details for its communications. Non-receipt of correspondence from Billink due to incorrect data entered by you is at your own expense and risk.
6.4 Billink recommends that you include the email domain @billink.co.uk in your safe sender list to avoid SPAM filtering.
Article 7 - Default of payment
7.1 If you fail to pay within the fatal deadline mentioned in article 5, the amount due is immediately payable and you are in default without further notice;
7.2 Billink will remind you of your default via the e-mail and/or postal address provided by you by means of a notice of default, reminder and/or reminder. Billink is free to choose which communication channel provided by you is used for correspondence, but will in principle correspond by e-mail as much as possible.
7.3 Billink is entitled to add to the claim all judicial and extrajudicial costs caused by non-payment, including the costs of lawyers, procurators, agents, bailiffs, (commercial) information agencies and collection agencies. The following applies to the extrajudicial costs:
a) If you are not acting in the course of a business or profession, extrajudicial collection costs will be charged after the expiry of the term as stated in the notice of default in accordance with "the Besluit Vergoeding voor Buitengerechtelijke Incassokosten", as referred to in paragraph 6 of Article 6:96 of the Dutch Civil Code, with a minimum of €40.00;
b) If you are acting in the capacity of exercising a business or profession, a claim is made for extrajudicial collection costs of 15% of the principal sum due, with a minimum of € 75.00. In accordance with Article 6:96 paragraph 4, no further notice of default is required for this;
7.4 After the aforementioned notice of default Billink is entitled, but never obliged, to claim - instead of the full amount mentioned in article 7.3 - a partial amount of extrajudicial collection costs from you as summation costs, without the involvement of a third party - such as a collection agency or bailiff - being necessary for this purpose. This is without prejudice to Billink's right to claim the full amount of extrajudicial collection costs at a later date;
7.5 From the date you are in default, Billink is entitled to charge you statutory interest (level in 2018: 2%). You are obliged to pay this interest if and insofar as Billink or its legal successor claims it from you;
7.6 Billink is gerechtigd om - naast buitengerechtelijke incassokosten - alle overige redelijke kosten die als vermogensschade in de zin van artikel 6:96 Burgerlijk Wetboek voor vergoeding in aanmerking komen, van u te vorderen. Het niet vorderen van deze kosten in een bepaald stadium laat de rechten van Billink onverlet om deze op een later moment alsnog te vorderen.
7.7 Indien u woonachtig bent in België en/of op uw bestelling Belgisch recht van toepassing is, geldt het hiernavolgende in het kader van uw betalingsverzuim: De niet betaling van de factuur op de vervaldatum leidt tot het opstarten van interne en externe rappelprocedure. Van rechtswege en zonder ingebrekestelling zal per verstuurde interne rappel van Billink een forfaitaire administratieve kost à € 7,50 in rekening gebracht worden. Van zodra Billink verplicht is de vordering over te maken aan een gespecialiseerd invorderingsbureau, dit wegens blijvende wanbetaling, wordt de vordering eveneens verhoogd met een forfaitair schadebeding, uit hoofde van niet-betaling, van 20% met een minimum van 10€ alsmede een verwijlsintrest a rato van 12 % per jaar, berekend op het bedrag van de factuur vanaf de datum van verzending van de factuur. De kosten verbonden aan deze overdracht van dossier alsmede de vergoeding voor de inning van de verschuldigde bedragen worden forfaitair begroot op € 35,00 en blijven volledig ten uwe laste, dit onverminderd de hierboven beschreven kosten voor interne rappels, forfaitair schadebeding en verwijlsintresten. De rechtbanken van het gerechtelijk arrondissement Antwerpen zijn als enige bevoegd om geschillen betreffende de betaling of de uitvoering van onze leveringen te beslechten.
Artikel 8 – Behandeling persoonsgegevens en toetsing
8.1 Billink respecteert uw privacy en draagt er zorg voor dat uw persoonlijke informatie vertrouwelijk wordt behandeld en enkel wordt medegedeeld aan de partijen waarvoor de gegevens bestemd zijn of Billink ondersteunen bij de uitvoering van de overeenkomst of het verwezenlijken van haar doelstellingen. Billink hanteert een Cookie Policy en een Privacy Statement. Deze documenten vindt u terug op de website van Billink.
8.2 Billink's Privacy Statement notes the exact processing and purposes which Billink performs with your personal data. The data you provide to Billink will in any event be used to assess your application for the Billink payment method, to prevent and combat fraud, for statistical analysis, for direct marketing purposes by displaying advertisements from Suppliers affiliated with Billink and to comply with legal obligations.
8.3 In connection with its acceptance policy, Billink will carry out a data and creditworthiness check. The purpose of this is to manage risks and prevent fraud. The data you provide will be included in Billink's relationship file and its partners' databases that it consults, so that these databases reflect accurate (credit) information.
8.4 When your details are entered in Billink's customer relations database, a check is made to establish whether you have other outstanding financial obligations. If you do or do not fulfil your financial obligations arising from the order you have placed/contracted, this information will be recorded by Billink in its customer relations database and in the partner databases it consults in order - in the event of non-payment - to limit further financial risks for Billink and its principals and for the purposes of creditworthiness testing or - in the event of timely payment - higher credit ratings. This is necessary for the financial processing of the orders you have placed and will place in the future.
8.5 Billink may make use of services and data of its affiliated Centraal Invorderings Bureau B.V. and other (sub)processors appointed by it for its data verification. The processing of personal data takes place in compliance with the General Data Protection Regulation (AVG). Billink may also use your personal data to inform you about products and services relevant to you. If you do not appreciate this, you can let Billink know. Billink will then block your personal data.
Article 9 - Liability
9.1 Billink can only be held liable for damage which can be attributed to it or its employees through wilful intent or gross negligence, or which has arisen as a result of circumstances for which it is responsible on the grounds of mandatory rules of law. Billink is never liable for consequential loss or trading loss and loss of profit or turnover or any other loss which must be deemed indirect loss;
9.2 Should Billink, for whatever reason, be obliged to compensate any damage, the compensation will never exceed an amount equal to the invoice value relating to the product or service which caused the damage, or to the amount paid out by its insurer in the individual case.
Article 10 - Applicable law and competent court
10.1 Dutch law applies exclusively to any agreement between you and Billink, even if all or part of an obligation is performed abroad or if the party involved in the legal relationship is domiciled there, unless any mandatory provision of international civil procedural law prevents this.
10.2 Disputes shall be submitted to the competent court in Rotterdam, unless the law expressly designates another court as competent.
10.3 The failure to strictly enforce compliance with one or more provisions of this agreement shall not affect the validity of the agreement and can never be held against Billink if, at a later time or in another case, it still claims compliance with the provisions of this agreement from you or invokes its rights.
10.4 Should one or more of the provisions of this document prove to be void, voidable or otherwise unenforceable, this shall not affect the validity of the remaining provisions of these terms and conditions.
